    Board of Directors

    Our day-to-day work relies on the leadership and expertise of the AESO Board. Appointed by the Government of Alberta, our board members bring a diverse set of skills and experiences from a wide range of industries.

    Accountability, transparency and ethical behaviour are integral to all AESO business activities. The AESO Board is charged with upholding our values and ensuring that AESO Bylaws are followed at all times.

    The AESO Board adheres to the procedures set out by the Province of Alberta in the Alberta Public Agencies Governance Act. Following best practices in governance, it continually strives to improve its leadership, which includes using the advice of independent, third-party experts.

    • Karl Johannson

      Karl Johannson

      Chair

      Mr. Karl Johannson joined the Alberta Electric System Operator Board in February 2020 and was appointed Chair on August 26, 2020.

      Mr. Johannson brings with him extensive experience in the energy and electricity sectors. He has held several senior executive positions at TC Energy, including, most recently, the positions of Executive Vice-President and President, Canadian and Mexico Gas Pipelines and Energy.

      Mr. Johannson also served as Senior Vice-President, Power Commercial and Senior Vice-President, Canadian Power at TC Energy. He has also held director positions with the Canadian Energy Pipeline Association (CEPA), Canadian Gas Association (CGA) and the Canadian Electric Association (CEA).

      In addition to his role with the AESO Board, Mr. Johannson is Chair of the Health, Safety and Environment Committee at ClearStream Energy Services. He has previous board experience as a member of Columbia Pipeline Partners LP, and as Chairman of TC Pipelines L.P.

      Mr. Johannson earned a Bachelor of Arts degree in Economics and a Master of Business Administration in Finance from the University of Calgary. He is also a graduate of Harvard Business School’s General Management Program.

    • Stephen Clark

      Stephen Clark

      Mr. Stephen Clark joined the Alberta Electric System Operator Board in April 2023 and is a member of the Governance and Nominations Committee and Power System Committee.

      Mr. Clark is principal of Energy Advisory, an energy transportation consulting firm. He has more than 30 years of experience in senior leadership roles in energy transportation in Canada and the United States.

      Earlier, was employed by TC Energy where he held roles of increasing responsibility including Senior Vice President, Canadian and NE US Gas Pipelines; Senior Vice President, Strategy & Corporate Development; and Senior Vice President, Canadian Gas Initiatives. Prior to that, he held commercial, management and technical positions with Novacor Chemicals and Canadian engineering, procurement and construction firms.

      Mr. Clark, has served on the Board of Directors of the Calgary Homeless Foundation, the Calgary Committee to End Homelessness, where he co-authored Calgary’s 10-Year Plan to End Homelessness; and was Board Chair of the Canadian Mental Health Association.

      Mr. Clark holds a BSc. In Engineering from the University of Alberta and a Masters in Business Administration from the University of Calgary. He is a lifetime member of the Association of Professional Engineers and Geoscientists of Alberta.

    • Aaron Engen

      Aaron Engen

      Mr. Aaron Engen joined the Alberta Electric System Operator Board in February 2020 and is the Chair of the Power System Committee. Mr. Engen is also a member of the Audit Committee.

      Mr. Engen is currently a Vice-Chair, Investment & Corporate Banking at BMO Capital Markets. Over his two decades of investment banking experience with BMO Capital Markets, his work focused on the energy infrastructure industry with companies involved the power, utilities, midstream and pipeline sectors.

      Mr. Engen’s investment banking experience includes advising clients in merger and acquisition transactions and in raising capital in private and public markets. Mr. Engen has also appeared as an expert witness before several Canadian regulators in connection with cost of capital and capital structure matters.

      Prior to joining BMO Capital Markets, Mr. Engen was a partner at a major Canadian law firm, where he practiced corporate and securities law. He was a member of the Law Society of Alberta for over 20 years and served on the University of Lethbridge Board of Governors.

      Mr. Engen has a Master’s degree in Business Administration and a Bachelor’s degree in Law from the University of Alberta, as well as a Bachelor’s degree in Arts and Science from the University of Lethbridge.

    • Alex Federucci

      Alex Federucci

      Ms. Alex Federucci joined the Alberta Electric System Operator Board in April 2023 and is a member of the Audit Committee and Human Resources Committee.

      Ms. Federucci brings over 35 years of experience in the energy and utilities sectors. Her professional career spans senior leadership positions in IT, Human Resources and business process integration with expertise in leading global teams across North America, Europe and Southeast Asia. Previously, she was Vice President of Global IT and Business Services and Vice President of Corporate Transformation at Talisman Energy Inc. and Vice President of People at TC Energy.

      Ms. Federucci has served in board-facing leadership roles at both Talisman Energy and TC Energy since 2000. She currently serves on the Wellspring Alberta Board and the Westside Recreation Society Board. She has a Master’s in Leadership degree from Royal Roads University and ICD board certification.

    • Georgette Habib

      Georgette Habib

      Ms. Georgette Habib joined the Alberta Electric System Operator Board in November 2020 and is the Chair of the Governance and Nominations Committee. Ms. Habib is also a member of the Power System Committee.

      Ms. Habib has a long record of public service and brings over 30 years of experience in the regulation of the energy industry.

      Ms. Habib also serves as Board Director with the Alberta Energy Regulator, where she currently chairs the Human Resources Health and Safety Committee and is a member of the Audit and Finance Committee.

      Ms. Habib served on the Board of Governors of the University of Calgary. She was a full-time board member of the National Energy Board (NEB), where she focused on adjudicating significant energy applications, including tolls, tariff and pipeline development. While at the NEB, Ms. Habib’s focus was on economic regulation of energy utilities, promoting safety and security, environmental protection, efficient energy infrastructure, terms and conditions of service and access to markets in the public interest.

      Prior to the NEB, Ms. Habib held management positions with the Alberta Energy and Utilities Board for over 20 years.

      Ms. Habib holds an Master’s degree in Economics from the University of Alberta and a Bachelor’s degree in Mathematics from the American University of Beirut.

    • Patricia Kaiser

      Patricia Kaiser

      Ms. Patricia Kaiser joined the Alberta Electric System Operator Board in January 2021 and is the Chair of the Human Resources Committee. Ms. Kaiser is also a member of the Audit Committee.

      Ms. Kaiser is President of the Office Professional & Light Industrial division of Agilus Work Solutions, a large national workforce solutions firm, where she brings over 25 years of experience to the role. Previously, she was the incoming President and VP Corporate Development for The BOWEN Group, Interim President and Chief Operating Officer for MacKay CEO Forums, and Chief Operating Officer for Sierra Systems for nine years.

      She also served on the Board of the Calgary Homeless Foundation for five years, most recently as Board Chair. Ms. Kaiser holds a Bachelor of Commerce degree from the University of Saskatchewan, she attended Queens University’s Executive Marketing program, earned her ICD.D from the Rotman School of Business in Toronto, and has been a regular lecturer at the University of Calgary’s Haskayne School of Business.

    • Mike Maxwell

      Mike Maxwell

      Mr. Mike Maxwell joined the Alberta Electric System Operator Board in October 2017 and is a member of the Human Resources Committee and Power System Committee.

      Mike is a seasoned executive with over 25 years of progressive leadership experience. He has helped organizations across North American advance their digital strategies, maximize the return on their technology investments and develop resilient cyber security programs. With experience across multiple industries such as aviation, healthcare, high tech, broadcast media and energy, he brings a wealth of experience and insight to the organization.

      Mike has a strong history serving Albertans based on his time at the Calgary YYC Airport as the Vice President of Infrastructure and Chief Information Officer.

      He holds a Bachelor of Science degree with Majors in Mathematics and Computer Science from Bishop’s University. He currently holds his ICD.D designation from the Institute of Corporate Directors and participates in other industry associations and organizations to advance the productive and secure use of technology in industry.

    • Ann-Marie Osinski

      Ann-Marie Osinski

      Ms. Ann-Marie Osinski, CPA, CA, joined the Alberta Electric System Operator Board in February 2020 and is Chair of the Audit Committee. Ms. Osinski is also a member of the Governance and Nominations Committee.

      Ms. Osinski is currently the Chief Financial Officer at Questor Technology Inc. Prior to joining Questor, Ms. Osinski was a partner at PricewaterhouseCoopers LLP (PwC) Canada in the firm’s audit and risk assurance practices and held many market-facing leadership positions during her 27 years with the organization including Sustainability Leader.

      Ms. Osinski has a proven track record in corporate governance, strategic planning, risk management, sustainability practices and providing leadership to companies in the global energy industry.

      In addition to her current role with the AESO, Ms. Osinski has held Board positions with the Aspen Family & Community Network Society, Dance Manitoba, and was a member of the Financial Advisory Committee for the Alberta Securities Commission.

      Ms. Osinski earned a Bachelor of Commerce degree from the University of Manitoba and is a member of the Canadian Institute of Chartered Professional Accountants.
